GENERAL TERMS & CONDITIONS – T-TOOL USA LLC

Pricing
Prices and product availability are subject to change without prior notice. All orders will be invoiced at the prices in effect at the time the order is placed.
All prices are quoted in U.S. Dollars (USD) and do not include freight, packaging, or insurance charges. Orders under $50.00 are subject to a minimum order value (MOV) fee of $7.95.

Sales and Similar Taxes

Unless otherwise specified, prices do not include sales, use, excise, or similar taxes. The BUYER is responsible for paying any current or future taxes applicable to the sale or use of the goods purchased under this agreement.
In lieu of paying such taxes, the BUYER may provide the Company with a valid tax-exemption certificate acceptable to the appropriate taxing authorities.

General Delivery Conditions

T-Tool USA LLC (“the Company”) shall not be liable for delays in delivery caused by circumstances beyond its reasonable control, including but not limited to:
• Acts of God
• Acts of civil or military authorities
• Fires, strikes, floods, epidemics, war, or riots
• Transportation delays or carrier shortages
• Inability to obtain necessary labor, materials, components, or manufacturing facilities
In the event of such delays, the delivery date will be extended by a period equal to the time lost due to the delay.

Delivery Terms

All shipments are FOB Weston, Florida USA 33327.
Once a shipment leaves our facility, the Company is not responsible for lost or damaged packages. The BUYER is responsible for all transportation and insurance costs.
All shipments are professionally packaged. Risk of loss or damage during transit transfers to the BUYER upon shipment. The BUYER is responsible for filing any claims directly with the carrier.

Terms of Payment

Unless otherwise agreed in writing, all invoices are due within 30 days of the invoice date (Net 30).
The Company reserves the right to charge interest on invoices unpaid after 60 days from the invoice date at a rate equal to the prime rate plus 1%.
The BUYER is responsible for any late payment charges, collection costs, court costs, or attorney’s fees incurred in collecting overdue balances.

Checks returned for insufficient funds (NSF) are subject to a $30.00 handling fee.

The Company also accepts most forms of electronic payment, including credit cards, ACH transfers, and wire transfers.

Cancellations and Returns

Orders may only be canceled with written notice and are subject to reasonable cancellation charges determined by the Company.
Returns will not be accepted more than 30 days after the date of sale.
• Standard product cancellations are subject to a 15% cancellation fee.
• Special orders cannot be canceled, including items laser-marked with the BUYER’s company name or logo.
Returned products must be shipped prepaid and only after the issuance of a Return Merchandise Authorization (RMA).

Limitation of Liability

The Company’s liability for any claim, including negligence, arising from the manufacture, sale, delivery, resale, repair, or use of any product covered by this agreement shall not exceed the purchase price of the specific product or part that gave rise to the claim.
Under no circumstances shall the Company be liable for special, indirect, or consequential damages.

Security Title

Title and right of possession to the products sold remain with the Company until full payment has been received, including any deferred payments.
Until such time, the products remain personal property of the Company, and the BUYER agrees to take any actions necessary to protect and maintain the Company’s ownership rights.

General

The Company complies with all applicable federal, state, and local laws and represents that all goods supplied under this agreement are produced in compliance with the Fair Labor Standards Act of 1938, as amended.
The products sold by the Company are not designed or intended for use in any atomic or nuclear installation or activity. If such use occurs, the Company disclaims all responsibility, including negligence. The BUYER agrees to indemnify and hold the Company harmless from any liability or damages arising from such use.
